I Board of Directors
Section 101 Number, Election, Term of Office of Voting
Board Members: There shall be seven Voting Directors
(Board Members) or such higher number as the Board of
Directors (hereafter Board) may from time to time establish.
During times when there are less than seven Voting Directors,
the Executive Director shall be a Voting Director. The
Board of Directors shall be elected each year. Each
Director shall hold office until the next annual meeting
and until his successor is elected and qualified, or
until his prior death, resignation or removal.
Section
102 Number of Prospective Board Members: There
may be up to 28 Prospective Directors (Prospective Board
Members) or such higher number as the Board may from
time to time establish. Prospective Board Members are
encouraged to attend and participate in all Board members.
A Prospective Director may be given voting privileges
by the Voting Board for any meeting at which he or she
is in attendance. A Voting Board member absent at a
previous meeting at which decisions were affected by
the vote(s) of Prospective Board Members can request
and will receive review and possible revision of such
decisions.
Section 103 Requirements for Board Members:
Each Voting Board member will: (1) Commit to running
Chimorel according to its core principles. (2) Review
and agree to the Board Bylaws and Code of Regulations
for Chimorel Services Inc (Chimorel). (3) Make a specific
commitment of support for Chimorel, develop an action
plan to achieve that commitment and implement the action
plan. A Voting Director who does not fulfill his/her
commitment of support may voluntarily or through Board
action become a Prospective Board member or cease to
be a Director.
