4 Meetings of Members
Section 400 Before 1000 Voting Members. Until
such time as there are one thousand (1000) or more
Voting Members of the Corporation, no meetings of
Members will be held. Until that time the Board of
Directors will have the primary responsibility for
conducting the affairs of the Corporation and will
perpetuate itself by voting on new Directors as appropriate.
Section 401 After 1000 Voting Members. Once
the requirements of Section 400 are met, the annual
meeting of the members of the Corporation and the
Annual Meeting of the newly elected Board of Directors
shall be held concurrently. Such Annual Meeting(s)
shall be held on the first or second Saturday in February,
or at such other time as the Board of Directors may
from time to time establish.
Section 402 Special Member Meetings. Special
meetings of the members of the Corporation may be
called by order of the Executive Director/President,
by order of a majority of the Board of Directors,
or by petition signed by not less than 7% of the voting
members of the Corporation. Such order or petition
must set forth the date and time, the place and the
reason or reasons for calling such special meeting.
Notification of such special meeting must be provided
to voting members not less than ten (10) days nor
more than thirty (30) days before the date specified
in the order or petition calling for such meeting.
The method of notification to all members may from
time to time be established by vote of the members
at an annual or special meeting. Until otherwise established
notification shall be given by posting conspicuously
at the principal office and by such other means as
determined by the Board.
