Section
406 Ballot. In lieu of attending meetings of
members, a member may vote by completing, signing
and returning a ballot emailed to or picked up by
him/her/it. A member’s home or business telephone
number shall be attached to his her ballot to establish
identity. In the absence of this ballot or attendance
at a meeting, the member’s proxy will suffice
to establish a quorum.

5 Other Orders of Business
Section
500 Powers of the Board. The activities, affairs
and property of the Corporation shall be managed,
directed and controlled, and its powers exercised
by and vested in the Board of Directors (“Board”),
except as otherwise provided by this Code of Regulations.
Section 501 Executive Boards for Corporate Entities.
The Board may from time to time establish separate
Executive Boards to manage and direct the activities,
affairs and property for specific program areas
and/or centers of the Corporation. Each Executive
Board will be subject to the control of the Board
of Directors.
